MyDesigns Wallet Terms

These MyDesigns Wallet Terms (the "Wallet Terms") govern your funding and use of the MyDesigns Wallet. They are part of, and incorporate, the MyDesigns Terms of Service (the "Main Terms"). Capitalized terms not defined here have the meaning given in the Main Terms. Where these Wallet Terms conflict with the Main Terms as to the Wallet, these Wallet Terms control.

By adding funds to your Wallet, enabling the Wallet, or allowing the Wallet to be applied to any charge, you agree to these Wallet Terms. You will be asked to accept these Wallet Terms when you first add funds. If you do not agree, do not fund or use the Wallet.

1. What the Wallet is

The MyDesigns Wallet (the "Wallet") is an optional feature that lets you prepay for certain MyDesigns services by adding funds ("Funds") to your Wallet. The amount of Funds available in your Wallet at any time is your "Wallet Balance." Funds are a dollar-denominated prepayment that may be applied only toward amounts you owe to MyDesigns for the services described in Section 5. Funds are usable only within the MyDesigns platform and only with MyDesigns.

The Wallet is a closed-loop, single-merchant prepaid feature. It is a convenience for paying MyDesigns; it is not a general-purpose account, a payment service, a bank or deposit account, or a means of moving money to any third party.

2. Definitions

• Funds - dollar-denominated prepaid value you add to your Wallet, redeemable only for the Permitted Uses in Section 5. One dollar of Funds equals one U.S. dollar of prepayment.

• Wallet Balance - the total unredeemed Funds in your Wallet at a given time.

• Platform Fees - the per-unit and other service fees MyDesigns charges for use of the platform, including order-routing fees on Printify orders and per-unit fees on digital-product orders.

• Network Fulfillment - fulfillment of Products that MyDesigns provides as principal through its own contracted Print Providers, where MyDesigns is the merchant of record for the fulfillment service supplied to you (as described in the Main Terms).

• Linked Payment Method - a debit or credit card or other payment method you authorize MyDesigns, through its payment processor, to charge.

3. Nature of the Funds

Funds are a prepayment for MyDesigns' own goods and services. Funds are not money, not a deposit, not a bank or payment account, and not stored value redeemable for cash. Funds do not earn interest. Except as expressly provided in Section 10 (Refunds), Funds have no cash value, cannot be redeemed for cash, and cannot be transferred or sent to any other person or account.

4. Relationship to AI Credits and subscription usage

Funds are separate and distinct from any usage credits included with a MyDesigns subscription (such as AI or "Dream" credits). Usage credits are a metered allowance bundled with a subscription plan and are governed by your plan terms and the Refund and Cancellation Policy. Wallet Funds are prepaid dollars governed by these Wallet Terms. The two are not interchangeable: Funds cannot be converted into usage credits, and usage credits cannot be converted into Funds or withdrawn as cash.

5. What Funds can - and cannot - be used for

Funds may be applied only toward:

(a) Platform Fees owed to MyDesigns; and

(b) Network Fulfillment charges - MyDesigns' charges to fulfill your Products through MyDesigns' own contracted Print Provider network, where MyDesigns is the merchant of record.

Funds are never used for, and may not be applied to:

(c) Production billed to you directly by a third party - for example, when you link your own Printify account and Printify charges you for production and shipping. Those charges are between you and that third party; MyDesigns does not collect, hold, or remit them, and they do not pass through the Wallet.

(d) Proceeds from sales on your connected Sales Channels (such as Etsy, Shopify, WooCommerce, or TikTok Shop). Your customers pay you through your own channel and processor; MyDesigns does not receive, hold, or route that money.

(e) Proceeds from sales through MyDesigns Stores. Storefront customer payments are processed through Stripe to your linked Stripe account; the buyer's funds settle through Stripe and do not pass through the Wallet.

6. MyDesigns as merchant of record for Network Fulfillment

When you order Network Fulfillment, you are purchasing fulfillment services from MyDesigns, not from the underlying Print Provider. MyDesigns is your sole counterparty for the order; you have no contractual or payment relationship with the underlying Print Provider and are not required to maintain any account with it; MyDesigns is responsible for the fulfillment obligation, including reprints, defects, and related disputes as described in the Main Terms; and MyDesigns separately contracts with and pays its Print Providers, independently of and regardless of any Wallet debit. Amounts charged for Network Fulfillment are charges by MyDesigns for MyDesigns' own services.

7. Adding Funds

You add Funds through MyDesigns' payment processor (Stripe) using a supported payment method. Each addition of Funds is a completed transaction when processed: you are prepaying for MyDesigns services, and the Funds become available in your Wallet Balance. MyDesigns may set minimum and maximum amounts and may decline, limit, or reverse an addition of Funds for risk, fraud, legal-compliance, or operational reasons.

8. Balance and daily limits

To keep the Wallet within applicable regulatory thresholds, the following limits apply and are enforced by the platform:

• Maximum balance. Your Wallet Balance will not exceed US $1,800 at any time. Any addition of Funds that would exceed this limit will be declined.

• Daily limit. The sum of (i) your Wallet Balance at the start of a calendar day plus (ii) all Funds you add during that same calendar day will not exceed US $2,000. Additions that would exceed this limit will be declined.

MyDesigns may lower these limits, or apply lower per-account limits, in its discretion. Where a charge exceeds your available Funds or these limits, MyDesigns will charge your Linked Payment Method for the difference (Section 9). Charges made directly to your Linked Payment Method are not Funds and do not count toward these limits.

9. Linked Payment Method and insufficient Funds

You may add one or more Linked Payment Methods to your account. If your Wallet Balance is insufficient to cover a charge - or if your Wallet is empty, disabled, or unfunded - MyDesigns will charge your Linked Payment Method for the amount due. You authorize MyDesigns and its processor to charge your Linked Payment Method for any Platform Fees, Network Fulfillment, or other amounts you owe that are not covered by Funds. If no Linked Payment Method is available and Funds are insufficient, affected Orders may not be processed.

10. Refunds and withdrawals

Unredeemed Funds may be refunded to you only by returning them to the original payment method used to add them. MyDesigns does not pay out Funds to a bank account of your choosing, in cash, or to any third party.

• You may request a refund of your unredeemed Wallet Balance at any time, subject to a minimum refund amount of US $5 and to MyDesigns' fraud and verification checks.

• Refunds are issued to the original payment method; if that method is no longer valid, MyDesigns may require additional verification before processing.

• Funds already redeemed are non-refundable, because the corresponding service has been provided. This includes Funds applied to completed Platform Fees and to Network Fulfillment Orders that have entered production.

• Refunds may take 5–10 business days to appear, depending on your payment provider.

11. No transfer or assignment

Funds are personal to your MyDesigns account. You may not sell, transfer, assign, gift, or otherwise move Funds to another user, account, or person, and Funds may not be combined across separate accounts. Any attempt to do so is void and may result in suspension or forfeiture under Sections 14–15.

12. Inactivity and unclaimed property

Funds do not expire on their own. However, if your account is inactive for twelve (12) consecutive months, MyDesigns may return your remaining Wallet Balance to the original payment method. Where a balance cannot be returned and remains unclaimed, MyDesigns will handle it in accordance with applicable unclaimed-property (escheat) law. MyDesigns does not charge inactivity or dormancy fees against your Wallet Balance.

13. Reversed payments, chargebacks, and negative balances

If a payment used to add Funds is later reversed, charged back, or disputed after some or all of those Funds have been redeemed, your account may reflect a negative balance equal to the value already used. You agree to repay any negative balance, and you authorize MyDesigns to charge your Linked Payment Method to recover it. MyDesigns may suspend the Wallet, suspend fulfillment, or take other steps under the Main Terms until any negative balance is resolved. Initiating a chargeback on an addition of Funds you have already spent, rather than requesting a refund under Section 10, is a breach of these Wallet Terms.

14. Fraud prevention, security, and verification

MyDesigns may, at its discretion and as appropriate to protect users and comply with law: set or change funding, balance, and velocity limits; require identity or payment verification before allowing additions, redemptions, or refunds; place holds on newly added Funds before they may be redeemed; and freeze, limit, or close a Wallet where MyDesigns suspects fraud, abuse, unauthorized use, or violation of these Wallet Terms or applicable law. You are responsible for safeguarding your account credentials and for activity under your account.

15. Suspension, termination, and account closure

MyDesigns may suspend or terminate the Wallet, or your access to it, in accordance with the Main Terms. On termination or account closure, MyDesigns will return your unredeemed Wallet Balance to your original payment method, less any amounts you owe and subject to Sections 13–14 and applicable law. Funds already redeemed are not refundable.

16. Taxes

Adding Funds is the purchase of prepaid value and is not itself a taxable sale of goods or services. Applicable taxes, if any, are assessed when Funds are redeemed for a taxable Platform Fee or for taxable Network Fulfillment, based on the rules of the applicable jurisdiction. You are responsible for any taxes arising from your own sales to your customers. Where required, you represent that you hold and have provided valid resale or exemption certificates applicable to your purchases of fulfillment from MyDesigns. Tax treatment varies by jurisdiction; this Section is not tax advice.

17. No FDIC insurance; no trust; unsecured-creditor status

Funds are not a deposit and are not money held in a bank account. Funds backing your unredeemed Wallet Balance are not insured by the FDIC or any government agency, and are not held in trust or as a fiduciary for you. To the extent you hold an unredeemed Wallet Balance, you are a general unsecured creditor of MyDesigns for its value. Funds do not earn interest.

18. Not money transmission or a money services business

Funds are a prepayment for MyDesigns' own goods and services, redeemable only with MyDesigns within a closed-loop, single-merchant feature. MyDesigns does not, through the Wallet, transmit money or monetary value on behalf of any person, sell stored value redeemable for cash, or otherwise provide money-transmission or money-services-business activities. The Wallet is not a payment account, money-transfer service, or means of moving funds between users or to third parties.

19. Disclaimers and limitation of liability

The Wallet and Funds are provided "as is," subject to the disclaimers in the Main Terms. MyDesigns' aggregate liability arising out of or relating to the Wallet and Funds is governed by, and subject to the limitations in, the Main Terms, and in any event will not exceed the value of your unredeemed Wallet Balance at the time the claim arose. Nothing in these Wallet Terms limits liability that cannot be limited under applicable law.

20. Changes to these Wallet Terms

MyDesigns may update these Wallet Terms from time to time. Where a change materially affects your rights, MyDesigns will provide notice by reasonable means (such as in-product notice or email) before it takes effect. Your continued funding or use of the Wallet after a change takes effect constitutes acceptance of the updated Wallet Terms.

21. Governing law and dispute resolution

These Wallet Terms are governed by the laws of the State of Nevada, and any dispute relating to the Wallet or Funds is subject to the governing-law, arbitration, class-action-waiver, and dispute-resolution provisions of the Main Terms, which are incorporated here by reference.
