MyDesigns Affiliate Program Terms

These Affiliate Program Terms (the "Affiliate Terms") govern your participation in the MyDesigns affiliate program (the "Program") operated by MyDesigns, Inc. ("MyDesigns," "we," "us," or "our"). They are part of, and incorporate, the Terms of Service and Acceptable Use Policy. Capitalized terms not defined here have the meaning given in the Terms of Service. By participating in the Program - including by sharing your affiliate link or receiving commissions - you agree to these Affiliate Terms.

1. Enrollment and eligibility

Every MyDesigns account holder is automatically enrolled in the Program as an "Affiliate" and can access their unique affiliate link from the main MyDesigns dashboard. To participate, you must be at least 18 years old, maintain an account in good standing, and comply with the Terms of Service and Acceptable Use Policy. We may decline, suspend, or remove any Affiliate from the Program at our discretion, including for violation of these Affiliate Terms.

2. Affiliate links and tracking

You will be provided a unique affiliate link. Referrals are tracked through our affiliate platform, which records qualifying sign-ups attributed to your link. Attribution is determined on a last-click basis within a 60-day cookie window, subject to the customer's browser and cookie settings, which are outside our control. To qualify, a referred customer must be a new MyDesigns customer who does not already have an account and who signs up through your affiliate link. We rely on the affiliate platform's tracking, and its records are the basis for determining commissions.

3. Commissions

For each qualifying customer you refer, you earn a commission equal to 20% of that customer's qualifying subscription fees, on each payment they make, for a fixed period of up to twelve (12) months from the date of their first paid subscription. After 12 months, or if the referred customer cancels or stops paying, commissions for that customer end.

Qualifying fees means subscription fees only. Commissions are calculated solely on MyDesigns subscription fees actually paid by the referred customer, net of taxes, refunds, discounts, and chargebacks. Commissions are not paid on any other amounts, including taxes, fulfillment or production costs, Wallet top-ups, third-party charges, or any non-subscription fees. We may change which products and fees are commissionable, and the commission rate, on a prospective basis (see Section 11).

A commission is earned only when the corresponding payment has been received by MyDesigns and the applicable refund/holding period has passed (see Sections 5–6).

4. Two-tier referrals (sub-affiliates)

The Program includes a two-tier structure. If you refer another person who enrolls as an Affiliate through your affiliate link (a "Sub-Affiliate"), you may earn a second-tier commission equal to 10% of the qualifying subscription fees paid by the new customers that your Sub-Affiliate refers, for a fixed period of up to six (6) months from each such customer's first paid subscription. Second-tier commissions:

• are earned only on actual qualifying subscription sales generated by your Sub-Affiliates' customer referrals - you earn nothing merely for recruiting a Sub-Affiliate;

• use the same definition of qualifying fees (subscription fees only) and are subject to the same refund, chargeback, clawback, holding, and payout rules as first-tier commissions; and

• apply to two tiers only - the Program does not pay commissions beyond your Sub-Affiliates' direct customer referrals (there is no third tier or deeper).

You may not recruit yourself, accounts you control, or fictitious persons as Sub-Affiliates, and you may not participate in circular or reciprocal recruiting arrangements designed to generate commissions. MyDesigns pays no compensation for the act of recruiting Affiliates; all commissions are tied to qualifying subscription sales.

5. Refunds, chargebacks, and clawbacks

Commissions are contingent on the underlying payment being valid and final. If a referred customer's payment is refunded, reversed, charged back, or determined to be fraudulent, the related first- and second-tier commissions are not earned and will be canceled or deducted from your balance, including from future commissions. We may withhold or reverse commissions we reasonably believe result from invalid, fraudulent, or non-compliant activity.

6. Payouts

• Holding period. Commissions become payable after a 30-day holding period following the referred customer's payment, to account for refunds and chargebacks.

• Minimum payout. Commissions are paid once your payable balance reaches a minimum of US $50.

• Schedule and method. Eligible commissions are paid on a monthly basis through our affiliate platform, using the payout method you connect (such as PayPal or another supported method). You are responsible for providing and maintaining accurate, valid payout information; we are not responsible for payments delayed or lost due to inaccurate details.

• Currency. Commissions are calculated and paid in U.S. dollars.

7. Self-referrals and prohibited conduct

You may not refer yourself, use your own affiliate link for your own subscription or accounts you control, recruit yourself or fictitious persons as Sub-Affiliates, or create accounts to generate commissions. You also may not:

• engage in spam, unsolicited bulk messaging, or any communication that violates anti-spam laws;

• run paid advertising in violation of Section 8;

• register or use domain names, or run ads, that impersonate MyDesigns or use our brand without authorization;

• use cookie stuffing, forced clicks, iframes, or any deceptive tracking or attribution method;

• make false, misleading, or unsubstantiated claims about MyDesigns, its features, pricing, or results;

• promote MyDesigns through coupon, deal, or cashback sites in a misleading way, or post unauthorized discount codes;

• use bots, fake accounts, or other artificial means to inflate referrals or recruit sham Sub-Affiliates; or

• promote MyDesigns in connection with any content prohibited by the Acceptable Use Policy.

Violation may result in forfeiture of commissions, removal from the Program, and suspension or termination of your account.

8. Paid advertising

We welcome and encourage Affiliates to promote MyDesigns through paid advertising - including pay-per-click search ads, social media ads, and display advertising - when it is done honestly, follows these Affiliate Terms and the advertising platform's rules, and complies with applicable law. Paid advertising can be an effective way to grow your referrals, particularly when you drive traffic to your own content, reviews, comparisons, or landing pages that then link to MyDesigns through your affiliate link.

To protect our brand and to avoid having Affiliates compete against our own marketing, the following paid-advertising rules apply. You may not:

• Bid on our brand terms. Bid on, purchase, or target MyDesigns' trademarks, brand names, or product names - including "MyDesigns," "MyDesigns.io," and any variations, misspellings, abbreviations, or confusingly similar terms (for example, "MyDesigns coupon," "MyDesigns discount," or "MyDesigns review" used as ad keywords) - as keywords on Google Ads, Microsoft/Bing Ads, Meta, TikTok, or any other paid search or advertising platform, including on broad, phrase, or exact match.

• Use our brand in ad content. Use MyDesigns' name, marks, logos, or likeness in your ad headlines, copy, display or visible URLs, ad extensions, or landing-page domains in any way that suggests your ad is from, or officially endorsed or operated by, MyDesigns.

• Direct-link branded ads to us. Run paid ads that send traffic directly to mydesigns.io (or any MyDesigns URL) using our brand terms. Paid traffic must go to your own intermediary content or landing page first.

• Run branded campaigns. Create or run any advertising campaign, ad group, or ad named after, themed around, or targeting the MyDesigns brand.

You must add MyDesigns' brand and trademark terms as negative keywords in your paid-search campaigns. If you are running paid advertising that violates these rules, you must stop it immediately upon the effective date of these Affiliate Terms or upon our request. Violations may result in forfeiture of all commissions arising from the non-compliant activity, removal from the Program, and suspension or termination of your account.

9. Disclosure and advertising compliance

When promoting MyDesigns, you must clearly and conspicuously disclose your affiliate relationship with MyDesigns wherever you share your link, in accordance with the U.S. Federal Trade Commission's Endorsement Guides and all other applicable advertising, marketing, and consumer-protection laws. You are solely responsible for your promotional content and methods, and for ensuring they are truthful, not misleading, and legally compliant.

10. Limited brand license

Subject to your compliance with these Affiliate Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use your affiliate link and our approved name and logos solely to promote MyDesigns, and only in the form and manner we permit. You may not modify our marks, use them to imply any partnership, sponsorship, or endorsement beyond your status as an Affiliate, or register any domain name, social handle, or business name containing our marks. This license ends when your participation in the Program ends or upon our request.

11. Changes to the Program

We may modify the Program at any time, including changing commission rates, qualifying fees, tracking, payout terms, the two-tier structure, or these Affiliate Terms, or discontinuing the Program. Changes are effective upon posting (or other notice where required) and apply on a prospective basis. Your continued participation after a change takes effect constitutes acceptance.

12. Taxes

You are solely responsible for all taxes on commissions you earn. You agree to provide any tax documentation we reasonably request (such as a Form W-9 or W-8), and we may issue tax forms (such as a Form 1099) and withhold where required by law. Where required, we may withhold payouts until valid tax documentation is provided.

13. Relationship of the parties

You participate in the Program as an independent contractor. Nothing in these Affiliate Terms creates any employment, agency, partnership, or joint-venture relationship between you and MyDesigns. You have no authority to make any representation or commitment on our behalf.

14. Term and termination

These Affiliate Terms apply while you participate in the Program. Either party may terminate participation at any time. On termination, we will pay any commissions already earned and payable under these Affiliate Terms, except that no commissions are owed for activity that was fraudulent, invalid, or in violation of these Affiliate Terms, and unpaid amounts below the minimum payout threshold or arising from reversed payments may be forfeited. Sections 5, 7–9, 12, and 15–17 survive termination.

15. Disclaimers and limitation of liability

The Program is provided "as is," subject to the disclaimers in the Terms of Service. Our liability arising out of or relating to the Program is governed by, and subject to the limitations in, the Terms of Service. We do not guarantee any minimum number of referrals, commissions, or earnings.

16. Indemnification

You agree to indemnify, defend, and hold harmless the MyDesigns Parties from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to your participation in the Program, your promotional content and methods, or your breach of these Affiliate Terms or applicable law, as further described in the Terms of Service.

17. Governing law and dispute resolution

These Affiliate Terms are governed by the laws of the State of Nevada, and any dispute relating to the Program is subject to the governing-law, arbitration, class-action-waiver, and dispute-resolution provisions of the Terms of Service, which are incorporated here by reference.
