MyDesigns Seller Terms of Service

1. Acceptance and Overview

By creating a storefront ("Store") on the MyDesigns platform, you (the "Seller") agree to be bound by these Seller Platform Terms of Service ("Agreement"). MyDesigns provides the software infrastructure, print-on-demand (POD) routing, and payment facilitation to allow you to sell your designs and digital products directly to consumers. You are the principal seller of the goods and services offered on your Store.

2. Payment Processing and Stripe Connect

Payment processing services for Sellers on MyDesigns are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the "Stripe Services Agreement").

By agreeing to this Agreement or continuing to operate as a Seller on MyDesigns, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time.

As a condition of MyDesigns enabling payment processing services through Stripe, you agree to provide MyDesigns accurate and complete information about you and your business, and you authorize MyDesigns to share it and transaction information related to your use of the payment processing services provided by Stripe.

Liability for Disputes: You bear ultimate financial liability for all chargebacks, fraudulent transactions, and customer disputes. In the event of a negative balance in your Stripe Express payout account resulting from refunds, chargebacks, or fees, MyDesigns reserves the right to recover those funds from your connected bank account, future sales, or any other legal means necessary.

3. Taxes and Marketplace Facilitation

MyDesigns acts as the Marketplace Facilitator for transactions processed through your Store. Where legally required, MyDesigns will automatically calculate, collect, and remit applicable state sales taxes to the relevant authorities on your behalf. You remain solely responsible for all other taxes, including local, state, or federal income taxes, arising from your use of the platform and your sales.

4. Intellectual Property and Acceptable Use

You retain all ownership rights to the designs you upload. However, you strictly agree not to upload, publish, or sell any content that infringes upon the copyrights, trademarks, trade dress, patents, right of publicity, or other intellectual property rights of any third party. Furthermore, you agree to abide by our Acceptable Use Policy (AUP). MyDesigns complies with the Digital Millennium Copyright Act (DMCA) and reserves the right to immediately suspend or terminate your Store, remove products, or withhold payouts without notice if we receive a valid claim of infringement or suspect illegal/prohibited activity.

5. Indemnification and Duty to Defend

To the maximum extent permitted by applicable law, you agree to fully indemnify, defend, and hold harmless MyDesigns, its affiliates, directors, officers, employees, agents, and its third-party print fulfillment, manufacturing, and logistics partners (collectively, the "Indemnified Parties") from and against any and all claims, demands, lawsuits, damages, losses, liabilities, judgments, settlements, costs, and expenses—including reasonable attorneys' fees and court costs—arising out of or directly related to:

Intellectual Property Infringement: Any claim that the designs, artwork, text, or content you upload, publish, or sell through your Store infringes upon or violates the rights of any third party.

Violation of Law: Your failure to comply with any applicable federal, state, local, or international laws or consumer protection statutes.

Breach of Contract: Your breach of any representation, warranty, or obligation outlined in this Agreement or our AUP.

Product Liability: Any claims arising from the marketing, description, or sale of your digital products, or any misrepresentation of the physical products fulfilled on your behalf.

The Indemnified Parties reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to fully cooperate with our defense. You agree not to settle any such matter without the prior written consent of MyDesigns.

6. Customer Support Responsibility

You are strictly responsible for handling front-line customer support for your buyers. This includes, but is not limited to, inquiries regarding digital downloads, tracking links, product replacements, and general order questions.

7. Dispute Resolution, Arbitration, and Class Action Waiver

Any controversy or claim arising out of or relating to this Agreement, or the breach thereof, shall be settled by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Clark County, Nevada. You and MyDesigns agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

8. Limitation of Liability

MyDesigns provides the platform and fulfillment routing "as is" and "as available." We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, or data, arising from your use of the platform, the suspension of your Store, or delays/errors by third-party print partners.

9. General Provisions

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles.

Severability: If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect.

Entire Agreement: This Agreement, along with the Privacy Policy and AUP, constitutes the entire agreement between you and MyDesigns regarding your use of the platform.
